Terms of Service

1. Who these Terms apply to

You may use the Service as:

• a consumer, meaning an individual acting mainly outside a trade, business, craft or profession; or
• a business user, meaning an individual or organisation acting for professional or commercial purposes.

Some sections expressly apply only to consumers or only to business users. If you use the Service for an organisation, you confirm that you have authority to accept these Terms for that organisation. In that case, “you” includes the organisation.

2. Accepting these Terms

You accept these Terms when you select the Google sign-in control after being shown the statement: “By continuing, you agree to the Terms of Service.” The Terms and the linked pre-contract information are available for you to review before you continue.

Our Privacy Notice explains how we process personal data. It is a notice, not part of your contractual acceptance. Consumers should also read the Consumer Withdrawal Notice before creating an account.

If you do not agree to these Terms, do not create an account or use the Service.

3. Eligibility and users under 18

You must be legally capable of entering into these Terms. If you are under 18, you may use Assertum only with the permission and supervision of a parent, legal guardian, school, or other responsible organisation that is legally able to approve your use. That person or organisation must review these Terms and take responsibility for supervising the account where applicable.

Assertum is a professional QA-automation tool and is not specifically directed at children. Do not create an account if applicable law does not permit you to do so.

4. Your account

The Service currently uses Google Sign-In. You must provide accurate account information through Google, keep control of your Google account and devices, and tell us promptly at support@assertum.ai if you suspect unauthorised access.

You may not share an account in a way that defeats account limits, impersonate another person, create accounts using information you are not authorised to use, or transfer an account without our written permission.

You are responsible for activity performed through your account unless it results from a security failure for which Assertum is legally responsible. Your use of Google Sign-In is also governed by Google’s own terms and privacy practices.

5. The free Service

Version 1.0 of the Service is provided without a subscription charge. It may include account quotas, feature limits, beta features, or technical restrictions shown in the Service. Free access does not guarantee that any particular feature or limit will remain unchanged indefinitely.

These Terms do not authorise us to introduce paid billing silently. Before paid plans become available, we will publish updated terms and any checkout, pricing, tax, renewal, cancellation and refund information required by law. You will not be charged unless you separately choose a paid plan through a clear payment process.

6. Local processing and what Assertum receives

Assertum exposes a local MCP/CLI interface for QA automation. Your UI trees, interactions, prompts, screenshots, source code, generated tests, and other test content remain on your device. Assertum does not receive or store that underlying test content or raw test structure.

The CLI creates a deterministic, per-user keyed fingerprint of test structure. Assertum receives the fingerprint, not the underlying structure. We use it only to detect duplicates and protect quota integrity within your account, and we do not compare it across users. The Service also receives the limited account, usage and first-party event data described in the Privacy Notice.

The CLI stores locally only the authentication credential or token cache and user configuration required for the Service. It does not create an installation, device or local analytics identifier. See the Cookie and Local Storage Notice.

7. Third-party services you choose

You may connect the local MCP/CLI to an AI provider, agent, MCP server, model, development environment or other third-party service. Assertum does not bundle, choose or operate those services for you.

Your chosen provider may receive test content or other local information when you configure it to do so. That transfer is between you and the provider and is governed by the provider’s terms and privacy practices. You are responsible for checking that you have the rights and permissions needed to send information to it and that its security and data handling are suitable for your use.

Google Sign-In and our infrastructure/support providers are described separately in the Service Providers Notice.

8. Licence to use Assertum

Subject to these Terms, Assertum grants you a limited, non-exclusive, non-transferable and revocable licence to access and use the Service for lawful personal or internal business QA-automation purposes during the term of your account.

This licence does not transfer ownership of Assertum software, services, documentation, branding or other intellectual property. Any source-available or open-source component is governed by its stated licence to the extent that licence applies.

Except where applicable law or an applicable open-source licence expressly permits it, you must not:

• copy, sell, rent, sublicense, distribute or commercially exploit the Service as a standalone product;
• reverse engineer or bypass technical protections, quotas or access controls;
• use Assertum branding in a way that suggests sponsorship or endorsement; or
• remove proprietary, copyright or licence notices.

Nothing in this section prevents activities that applicable law does not allow us to restrict.

9. Your materials and generated output

As between you and Assertum, you retain your rights in your local project materials, inputs and test content. Subject to any third-party rights, you also own output generated for you through your local workflow.

You give Assertum no licence to underlying test content because Assertum does not receive it. You give us only the limited rights needed to process the account and telemetry data that the Service actually receives, as described in the Privacy Notice.

You are responsible for reviewing generated tests and other output before relying on them. Output may be incomplete, unsuitable or incorrect, particularly where it depends on a third-party model or service. You must perform appropriate human review, testing and security checks.

10. Acceptable use

You must use the Service lawfully and responsibly. You must not:

• access or test systems, accounts or data without proper authorisation;
• use the Service to introduce malware, disrupt systems, evade security controls or facilitate unlawful access;
• infringe privacy, confidentiality, intellectual-property or other rights;
• upload or transmit illegal material through any part of the Service that accepts content;
• probe, scan, overload or interfere with Assertum infrastructure except under a written security-testing authorisation from us;
• automate account creation, create deceptive identities, or use multiple accounts to evade a free quota, suspension or restriction;
• extract or scrape non-public Service data or credentials;
• use the Service in a way that creates a material security, legal or operational risk for Assertum or others; or
• help another person do any of the above.

We may investigate suspected misuse and take proportionate protective measures. We will consider the context, seriousness, recurrence and likely harm when deciding what action is appropriate.

11. Feedback

If you voluntarily send us suggestions or feedback, you grant Assertum a worldwide, perpetual, irrevocable, non-exclusive, royalty-free licence to use, adapt and incorporate that feedback without an obligation to compensate you. This licence does not cover your test content, confidential information clearly identified as such, or personal data beyond what our Privacy Notice allows.

12. Availability, maintenance and beta features

We aim to operate the Service with reasonable care and skill. The Service may nevertheless be unavailable or affected by maintenance, security work, provider outages, defects or events outside our reasonable control. We do not promise uninterrupted availability, a particular uptime level, or that every generated test will be correct.

We may label features as beta, preview or experimental. Such features may change more often, have reduced support or be withdrawn after reasonable notice. Mandatory consumer rights still apply.

13. Changes to the Service

We may update the Service for valid reasons, including to:

• improve functionality, usability, security, performance or accessibility;
• respond to legal, regulatory or provider requirements;
• prevent abuse or protect users and infrastructure;
• adapt to technical changes or dependencies; or
• remove a feature that is no longer reasonably supportable.

We will not charge for a change under these free-service Terms. Where reasonably practicable, we will give advance notice of a material change through the Service or by email. A security or legal emergency may require shorter or immediate notice.

If consumer digital-service law applies and a modification negatively affects a consumer’s access to or use of the Service beyond a minor degree, we will provide the information clearly and, where required, on a durable medium. The consumer may terminate the contract free of charge within the period provided by applicable law, unless a lawful exception applies. This section does not reduce any statutory conformity or remedy right.

14. Suspension and termination by Assertum

We may restrict or suspend access where reasonably necessary to:

• address a security incident or credible risk;
• stop unlawful or materially harmful use;
• protect the Service, users or third parties;
• enforce account quotas or these Terms; or
• comply with law or a binding request.

Where the issue can reasonably be corrected and immediate action is not required, we will normally explain the reason and give you an opportunity to correct it. We may terminate an account for a serious or repeated breach, fraud, unlawful activity, material security risk, or where continued provision is no longer legally or technically reasonable. We will act proportionately and preserve mandatory consumer rights.

15. Ending your account

You may stop using Assertum at any time and may delete your account through the available account controls. Account deletion removes the live account data described in the Privacy Notice. Encrypted database backups age out within 30 days, and limited pseudonymous deletion-ledger records may remain for 24 months to prevent repeated registration from resetting free quota.

Deleting an account does not affect rights or obligations that arose before deletion. Sections that by their nature should continue — including ownership, feedback rights, liability, governing law and dispute provisions — survive termination.

Consumers may also exercise the separate 14-day right described in the Consumer Withdrawal Notice.

16. Consumer conformity and remedies

If you are a consumer, we will provide the Service in conformity with applicable mandatory digital-content and digital-service law. Depending on the circumstances and applicable law, you may be entitled to have a lack of conformity corrected, to receive a proportionate remedy, or to terminate the contract.

Because the launch Service is free, there is no subscription price to reduce or refund. This does not remove any other mandatory remedy or right to recover loss for which we are legally responsible. Please report a problem to support@assertum.ai with enough information for us to investigate, but do not send confidential test content unless we expressly agree on a secure method.

17. Warranties and responsibility for the Service

Consumers

Nothing in these Terms excludes or limits a consumer guarantee, conformity obligation or other right that applicable law does not allow us to exclude. Subject to those rights, the Service is a QA-automation aid and you remain responsible for reviewing its operation and output before using it in production or making decisions based on it.

Business users

For business users, the Service is supplied on an “as available” basis. To the maximum extent permitted by law, we exclude implied warranties and conditions that the Service will be uninterrupted, error-free, fit for a particular business purpose, or compatible with every system or third-party service. This does not exclude an obligation expressly stated in these Terms.

18. Liability

Liability we do not exclude

Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence, or any other liability that applicable law does not allow to be excluded or limited.

Consumers

If you are a consumer, Assertum is responsible for loss and damage that is a foreseeable result of our breach of these Terms or failure to use reasonable care and skill, subject to applicable law. We are not responsible for loss caused by your unauthorised or unlawful use, a third-party service you selected, or your failure to take reasonable protective steps. Nothing in this paragraph limits mandatory consumer or data-protection rights.

Business users

If you are a business user, neither party is liable to the other for indirect or consequential loss, loss of profit, revenue, anticipated savings, goodwill, business opportunity or data, except to the extent such exclusion is prohibited by law. Assertum’s total aggregate liability arising from or connected with the free Service and these Terms is limited to EUR 100.

The business limitation does not apply to the non-excludable matters above. It also does not relieve either party of responsibility for unauthorised use of the other party’s intellectual property or breach of confidentiality obligations that exist independently of these Terms.

19. Governing law and disputes

These Terms and non-contractual obligations connected with them are governed by the laws of the Republic of Cyprus.

If you are a consumer, this choice does not deprive you of mandatory protections available under the law that would apply without this clause. You may bring proceedings in any court available to you under mandatory consumer-jurisdiction rules. Assertum may bring proceedings against a consumer only where applicable mandatory rules permit.

If you are a business user, the courts of the Republic of Cyprus have exclusive jurisdiction, unless the parties agree otherwise in writing.

Before starting formal proceedings, please contact support@assertum.ai so that we can try to resolve the issue. This does not shorten a legal limitation period or prevent either party from seeking urgent relief.

20. Changes to these Terms

We may update these Terms for valid legal, security, operational or product reasons. We will provide reasonable advance notice of a material change when practicable and will state the new effective date and version. If a change materially affects existing rights or obligations, we may ask you to accept the updated Terms before further authenticated use.

Changes do not apply retroactively unless required by law or expressly agreed. Consumer rights concerning service modifications remain governed by section 13 and applicable law.

21. General terms

If a court or competent authority finds part of these Terms unlawful or unenforceable, the remaining parts continue to apply. Our failure to enforce a provision immediately is not a waiver. You may not transfer your contract without our written consent; we may transfer it as part of a genuine reorganisation, merger or sale if doing so does not reduce mandatory consumer rights.

These Terms, together with any information expressly incorporated into them, are the agreement about the free Service. They do not override statements that applicable law treats as binding or any separate written agreement signed by Assertum.
